These Terms of Service ("Terms") are an agreement between you and Veller Partners LLC ("Veller Partners", "we", "us", or "our"), the company that operates RaisePath at raise.vellerpartners.com (the "Service"). By creating an account, starting a subscription, or otherwise using the Service, you agree to these Terms. If you do not agree, please do not use the Service.
RaisePath helps founders and their teams find suitable investors. You can describe a company or upload a pitch deck or business plan, and the Service returns a ranked list of investors and, for members, their published contact details, drawn from a database that we compile and maintain. These Terms cover your access to and use of the Service, including the free preview and any paid membership.
You must be at least 18 years old and able to form a binding contract. If you use the Service on behalf of a company or other organization, you confirm that you are authorized to accept these Terms for that organization, and "you" then refers to that organization.
RaisePath signs you in with a one time code sent to your email address, so there is no password to remember. You are responsible for keeping access to your email account secure and for all activity that happens under your account. Tell us promptly if you believe someone has gained access to your account without your permission. You agree to give accurate information and to keep it current.
The Service lets you:
The matching is produced by an automated engine that scores investors against the criteria you provide. Rankings, scores, and suggestions are informational. They are not advice, an endorsement, or a promise of any outcome.
The investor records in RaisePath describe professional and business contact information for investors and investment firms. We build this database from sources that include the firms' own websites and other public or verified sources. Our policy is to use confirmed information and not to invent names, email addresses, or websites.
Even so, we cannot promise that every record is complete, current, or accurate, because the underlying information is created and changed by third parties and can become outdated at any time. You are responsible for reviewing and independently confirming any contact details before you rely on them or reach out. We do not guarantee that any investor will read your message, respond, take a meeting, or provide funding, and nothing in the Service is a promise of investment or a particular result.
You agree not to:
You are responsible for how you use any contact information you obtain, including your compliance with laws that apply to outreach and to the handling of other people's personal data.
You keep ownership of the pitch decks, business plans, and other materials you upload ("Your Content"). You grant us a limited license to store and process Your Content only as needed to provide the Service to you, for example to read a deck and produce matches. You confirm that you have the right to upload Your Content and that it does not infringe anyone's rights or break any law. Please do not upload information that you are not permitted to share.
A RaisePath membership is offered as a recurring subscription at the price shown at checkout, currently 49 US dollars per month, plus any applicable taxes. Payments are processed by our payment provider, Stripe. By starting a membership, you authorize us and Stripe to charge your chosen payment method for each billing period.
We also accept payment in the stablecoins USDT and USDC on supported blockchain networks, processed by our crypto payment provider, NOWPayments. Crypto payments buy a prepaid membership period of one or twelve months at the price shown at checkout, do not renew automatically, and are non-refundable once the paid period has started. Blockchain network fees are borne by the payer, and underpaid or expired blockchain payments do not activate a membership.
Your membership renews automatically at the end of each billing period until you cancel. We may change the price or the plan features, and if we do we will give you reasonable advance notice, and any change to your recurring price will take effect on a following billing period, not the current one.
You can cancel at any time from your account or through the customer billing portal. When you cancel, your membership stays active until the end of the period you have already paid for, and it does not renew after that. Except where the law requires otherwise, payments already made are non refundable, and we do not provide partial refunds for unused time. If you believe you were charged in error, contact us and we will look into it in good faith.
From time to time we may offer account credit for referring new paying members. Credits have no cash value, cannot be exchanged for money, and may be subject to a holding period and to checks that prevent abuse, such as self referral. A credit may be reversed if the referred payment is refunded or disputed. We may change or end any referral offer at any time.
The Service, including the software, the design, the matching engine, and the compiled investor database, is owned by Veller Partners LLC and its licensors and is protected by intellectual property laws. We grant you a limited, non exclusive, non transferable, revocable right to use the Service for your own investor outreach while your account is in good standing. This does not transfer any ownership to you, and all rights we do not expressly grant are reserved.
The Service relies on third parties, including Stripe for payments, an email provider for sign in codes and notifications, and cloud hosting. Your use of those parts is also subject to those providers' terms. The Service may also point you to investor websites and other outside pages, which we do not control and are not responsible for.
The Service is provided on an "as is" and "as available" basis. To the fullest extent allowed by law, we disclaim all warranties, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, and non infringement. We do not warrant that the Service will be uninterrupted, error free, or secure, or that any information in it is accurate, current, or complete. RaisePath does not provide legal, financial, investment, or tax advice.
To the fullest extent allowed by law, Veller Partners LLC and its owners, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, lost opportunities, lost data, or lost goodwill, arising out of or relating to your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us for the Service in the three months before the event giving rise to the claim, or one hundred US dollars. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
You agree to defend, indemnify, and hold harmless Veller Partners LLC and its owners and employees from any claims, damages, losses, and reasonable costs, including attorney fees, that arise out of your use of the Service, your content, your outreach to investors, or your breach of these Terms or of any law.
You may stop using the Service and close your account at any time. We may suspend or end your access if you break these Terms, if we are required to by law, or if your use creates risk or harm to the Service or to others. When your access ends, the sections of these Terms that by their nature should survive will continue to apply, including intellectual property, disclaimers, limitation of liability, indemnification, and governing law.
We may update these Terms from time to time. When we make a material change, we will update the date at the top and, where appropriate, give you notice through the Service or by email. Your continued use of the Service after a change takes effect means you accept the updated Terms.
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws rules. You and Veller Partners LLC agree that the state and federal courts located in Delaware will have exclusive jurisdiction over any dispute that is not otherwise resolved, and you consent to the personal jurisdiction of those courts. To the extent permitted by law, you and we each waive any right to a jury trial and agree that any claim will be brought in an individual capacity and not as part of a class action.
These Terms, together with the Privacy Policy and any pricing terms shown at checkout, are the entire agreement between you and us about the Service. If any part of these Terms is found to be unenforceable, the rest will remain in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent, and we may assign them in connection with a merger, acquisition, or sale of assets. We are not responsible for delays or failures caused by events beyond our reasonable control.
Questions about these Terms can be sent to Veller Partners LLC at iv@vellerpartners.com.
